Notice of publication of the merger plan of Polski Holding Hotelowy sp. z o.o. and Wojewódzkie Przedsiębiorstwo Usług Turystycznych sp. z o.o.

In connection with the planned merger of Polski Holding Hotelowy spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (address: ul. Komitetu Obrony Robotników 39G, 02-148 Warsaw), entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw in Warsaw, 14th Commercial Division of the National Court Register, under KRS No. 0000047774, REGON 016046030, NIP 522-24-82-605, with a share capital of PLN 1,911,499,700.00 (the “Acquiring Company”), with Wojewódzkie Przedsiębiorstwo Usług Turystycznych sp. z o.o., with its registered office in Katowice (correspondence address: Aleja Korfantego 9, 40-951 Katowice), entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court Katowice-East in Katowice, 8th Commercial Division of the National Court Register, under KRS No. 0000272147, NIP 634-01-26-424, REGON 000558506, with a share capital of PLN 3,500,000.00 (the “Acquired Company”), the Management Boards of both companies agreed upon and signed the merger plan for the above-mentioned companies on 30 July 2026 (the “Merger Plan”).
In view of the above, the Management Board of the Acquiring Company, pursuant to Article 500 § 2 and § 2¹ of the Polish Commercial Companies Code, hereby makes the Merger Plan together with its appendices available to the public.
The Management Board of the Acquiring Company hereby informs that, pursuant to Article 500 § 2 and § 2¹ of the Polish Commercial Companies Code, the Merger Plan is being made available free of charge and continuously on the Acquiring Company’s website for at least one month prior to the date on which the Shareholders’ Meeting at which the resolution on the merger is to be adopted begins.
